CONSTITUTION OF THE NEW ENGLAND ASSOCIATION OF PARASITOLOGISTS

(CURRENT – the changes in this version were voted upon in 2023)

ARTICLE I. NAME

 

The name of this organization shall be the New England Association of Parasitologists.

ARTICLE II. OBJECTIVES

 

The objectives of the Association shall be the advancement of the disciplines of parasitology, promotion of parasitological research and teaching, provide for informal discussions of research and teaching of parasitology, and fellowship among workers in parasitology and allied fields.

ARTICLE III. MEMBERSHIP

 

The Association shall be open to all interested persons.

 

1. There shall be student members, i.e., individuals who have not earned a doctorate degree and are enrolled as students in a recognized educational institution.

 

2. There shall be full members, i.e., individuals who have terminated their studies and those who do not fall into the student member category.

 

3. There shall be life members, i.e., individuals who have made a one-time contribution of at least $500 to the Association. Life members are exempt from payment of annual dues.

ARTICLE IV. OFFICERS

1. The officers of the Association shall be President, President-Elect, Secretary-Archivist and Treasurer.

 

2. The term of office of the President and President-Elect shall be two years, beginning at the close of the annual meeting.

 

3. The term of office of the Secretary-Archivist shall ordinarily be three years, beginning at the close of the annual meeting. The Secretary-Archivist may be re-elected to a maximum of two additional terms, each of three years.

4. The term of office of the Treasurer shall ordinarily be three years, beginning at the close of the annual meeting. The Treasurer may be re-elected to one or more additional terms.

 

5. The duties of the officers shall be such as usually pertain to the offices held and also duties that may be prescribed by the Constitution.  Officers will receive no compensation for their Association duties.

6. The nomination of candidates for each office to be filled may be made prior to the annual meeting or may be made from the floor at the annual meeting.

 

7. Election of the President-Elect, Secretary-Archivist, and Treasurer shall be by a simple majority of the members voting. The office of President shall be assumed by the President-Elect at the end of his/her term. In the case of death or resignation by the President-Elect, the newly elected President-Elect will assume the duties and serve out the terms of both offices.

8. Any nominee for office must be a bona fide member of the Association.

ARTICLE V. COMMITTEES

 

1. There shall be an Executive Committee of the Association composed of current officers and the Immediate Past President.

 

2. The location and Program Chairperson of each annual meeting shall be determined by a simple majority of the members voting at a previous annual meeting. The Program Chairperson will appoint a Program Committee as they deem necessary.

  

3. The President shall appoint any ad hoc committees which they or the Executive Committee deem necessary.

ARTICLE VI. MEETINGS

 

1. One meeting shall be held each year to provide for the exchange of information pertinent to research and teaching of parasitology.

 

2. The President shall be responsible for setting the agenda for, and running, the annual Business meeting.

ARTICLE VII. DUES

 

1. The annual membership dues are payable at the time of application for membership and thereafter at the annual meeting.

 

2. Yearly dues for full members and/or changes in dues shall be determined by the Executive Committee, subject to the approval of the membership.

 

3. Members whose dues records are delinquent for the previous two years at the close of the annual meeting will be considered to have resigned from the Association and will be dropped from the mailing and/or e-mail list. Reinstatement will require the payment of current dues.

ARTICLE VIII. QUORUM

 

A quorum for the transaction of business of the Association shall be those members present at Association meetings.

ARTICLE IX. AMENDMENTS

 

Proposed amendments may be sent to the membership prior to the annual meeting or may be made from the floor at the annual meeting.

ARTICLE X. RULES OF ORDER

 

Robert’s Rules of Order shall govern deliberations in all cases where they are applicable and are not inconsistent with this instrument or special rules of the Association.

​

1.  The purposes for which NEAP is organized are exclusively scientific and educational within the meaning of Section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

​

2.  Notwithstanding any other provisions of these articles, NEAP shall not carry on any activities not permitted to be carried on by an organization exempt from Federal income tax under Section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

​

3.  Upon the dissolution of NEAP, assets shall be for one or more exempt purposes within the meaning of 501 (c) (3) of the Internal Revenue Code of 1986, or corresponding section of any future Federal tax code, or shall be distributed to the Federal, state, or local government for a public purpose.  Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the country in which the principle office of the organization is then located, exclusively for such purposes.
